Yes. A dormant company – one that carried on no business and had no income for the whole of the basis period – must still file its Corporate Income Tax Return by 30 November, unless IRAS has granted it a waiver to file.
Where the company is dormant, IRAS provides a simplified Form for Dormant Company, which takes only a few minutes to complete, instead of the full Form C-S or Form C. Note that a company can be dormant even if it has incurred costs such as bank charges or secretarial fees.
To stop filing altogether, the company must apply for a waiver through the “Apply for Waiver/ File last Form C-S/ C (Dormant/ Striking Off)” digital service at myTax Portal. Broadly, the company must have filed its returns, financial statements and tax computations up to the date it ceased business, must not derive income from any investments it owns, must have de-registered for GST if previously registered, and must not intend to restart business within the next two years. Once a waiver is granted, no further returns are issued and it does not need to be reapplied for each year.
If the company later recommences business or receives any income, it must notify IRAS within one month. Note that the waiver is not available to a foreign company or its Singapore branch. Separately, ACRA has its own dormancy rules for annual returns and financial statements – the two regimes are not the same. Apexia can handle dormant filings or apply for the waiver on your behalf.
